1. Agreement to Terms

By accessing or using the services of RightXperience Inc ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

RightXperience provides professional IT consulting services, including but not limited to:

  • Application Development and Engineer Outsourcing
  • Artificial Intelligence and Machine Learning Solutions
  • Cybersecurity Services
  • Financial Services Technology
  • IT Audit and Compliance
  • ITIL and ITAM Consulting
  • Packaged Implementation Services
  • Virtual CISO (vCISO) Services

3. User Obligations

You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Use our services only for lawful purposes
  • Not interfere with or disrupt our services or servers
  • Not attempt to gain unauthorized access to any systems or networks
  • Comply with all applicable laws and regulations

4. Service Engagement

Proposals and Contracts

Specific project engagements will be governed by separate written agreements, statements of work, or service contracts that detail the scope, deliverables, timelines, and fees for the services provided.

Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise stated, invoices are due within 30 days of the invoice date. Late payments may incur interest charges and may result in suspension of services.

5. Intellectual Property Rights

Company Property

All content, materials, and intellectual property on our website and in our services, including but not limited to text, graphics, logos, software, and methodologies, are owned by or licensed to RightXperience and are protected by copyright, trademark, and other intellectual property laws.

Client Deliverables

Ownership of deliverables created specifically for clients will be addressed in individual service agreements. Unless otherwise specified, clients receive a license to use deliverables for their business purposes, while RightXperience retains ownership of underlying methodologies, frameworks, and tools.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the business relationship. Specific confidentiality terms will be outlined in Non-Disclosure Agreements (NDAs) or service contracts.

7. Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables will be outlined in individual service agreements.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN INDIVIDUAL SERVICE AGREEMENTS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIGHTXPERIENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by the client for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless RightXperience, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Termination

We reserve the right to terminate or suspend access to our services immediately, without prior notice, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use our services will immediately cease.

Termination provisions for specific service engagements will be outlined in individual service agreements.

11. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, except as otherwise provided in individual service agreements.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes constitute acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with any individual service agreements, constitute the entire agreement between you and RightXperience regarding the use of our services and supersede all prior agreements and understandings.
